Contract Law
Drafting, reviewing, and negotiating contracts while protecting the client’s legal and business interests.
A well-drafted contract clearly defines rights, obligations, risks, and the consequences of non-performance, reducing the likelihood of future disputes.
We provide support during the negotiation, drafting, and review of domestic and international contracts, tailored to the specific business or private circumstances.
A contract is the most important tool for managing risk in any deal. We do not use ready-made templates; we tailor every clause to the actual relationship between the parties and to what can realistically happen during performance.
Areas of Practice
- Drafting and reviewing contracts
- Negotiating contractual terms
- Sale and purchase agreements
- Lease agreements
- Works and services agreements
- Business cooperation agreements
- Contract termination and damages
How We Help
We draft and review domestic and international contracts, point out risky clauses and propose changes that protect your interests. We take part in negotiations and help strike a balance between security and business flexibility.
When a contract is breached, we assess the options for termination, contractual penalties and damages and represent clients in out-of-court negotiations and in court.
How We Work Together
- Understanding the deal – we establish what the parties want to achieve and what the risks are.
- Draft or review – we prepare the contract or comment on the other side's draft.
- Negotiation – we settle the disputed clauses until the final text is agreed.
- Monitoring performance – we advise you when problems arise during performance.
Good to Know
For certain contracts the law prescribes a special form, and a contract concluded without it may have no legal effect. Clearly defined deadlines, security instruments and consequences of breach reduce the risk of lengthy disputes.
The best contract is the one that stays in the drawer because the parties keep their word.
